The basic regulations on retention of enterprise’s documents

According to regulations of Law on enterprises dated November 26^th, 2014 and Decree No. 50/2016/ND-CP dated June 01st, 2016, penalties for administrative violations against regulations on planning and investment:

Depending on the form, the enterprise must retain/keep at the headquarter (or another location prescribed in the company’s charter) the following documents:

-    The company’s charter; internal rules and regulations; member registers or shareholder registers;

-    Certificate of industrial property rights; Certificate of product quality registration; other licenses and certificates;

-    Documents, papers proving the company’s ownership of its assets;

-    Minutes of meetings of the Board of members, the General Meeting of Shareholders, the Board of Directors; the enterprise’s decisions;

-    Accounting books, accounting documents, and annual financial statements, etc.

Please note that A fine of VND 10,000,000 - VND 15,000,000 shall be imposed for the violation of not retaining documents at the headquarters or another location specified in the company’s charter.
